Professional Background

Amira is a Senior Associate in our commercial team in Port Moresby, in her 9th year of practice. Amira has gained over 3 years of post admission experience in Queensland, Australia and over 5 years in Port Moresby, PNG.

Amira regularly engages with PNG’s regulatory bodies, Government departments and commercial banks when acting on behalf of international and local companies.

Amira acts as the Honorary Lawyer for the Royal Papua Yacht Club, on behalf of the firm.

 

Areas of Experience

Amira practices in the areas of commercial property and construction, mergers and acquisitions, aviation, restructuring, energy and resources and banking and finance.

Amira also manages the day to day residential and commercial property practice at LLLS.

Notable highlights include:

  • acting for PNG Air Limited in a landmark airline restructure, being PNG’s first creditors’ scheme of arrangement under Part XVI of the Companies Act 1997;
  • conducting the due diligence for an investment into a Special Economic Zone cement, lime and clinker project in PNG;
  • conducting a due diligence for a national solar electricity mini grid project;
  • conducting a due diligence in connection with the Ramu II 180 MW hydroelectricity project;
  • acting for the lender in connection with a USD 100 million financing arrangement for the Woodlark Gold Project;
  • drafting a legal report for the International Finance Corporation and World Bank Group concerning the Papua New Guinea banking sector;
  • acted as local counsel to JAS UK Holding Limited in connection with its strategic cross-border acquisition of Pentagon Freight Services, assisting with legal due diligence, reviewing local regulatory and corporate matters, and supporting the delivery of transaction advice for a complex international acquisition;
  • acting for the seller in a complex multi-faceted agricultural transaction involving the sale and transfer of land and business assets and the establishment of related joint venture arrangements; and
  • assisted with legal due diligence in connection with a proposed acquisition of a major PNG gold mining operation.
