Daniel (Dan) assists Australian and international clients with corporate and commercial law matters including mergers and acquisitions, mining and energy resources, banking and finance and he regularly provides regulatory advice.
Dan also assists a variety of multi-national firms in the Asia Pacific region. Dan has experience with cross border transactions involving Australia, United States of America, Singapore and PNG.
Dan is admitted to the High Court of Australia, Supreme Court of Queensland and the National Court of Justice of Papua New Guinea. He has spent half his life living and working in PNG and is able to speak Tok Pisin fluently. Dan understands the legal and non-legal challenges facing foreign business in PNG.
As a published author with Bloomberg and CCH Australia Limited (a Wolters Kluwer business), Dan has written commentary on Company, Tax and Labour Law for the PNG jurisdiction.
Dan also co-wrote an article on PNG’s mining laws which was published in the Mining Journal in 2016.
- Providing on going advice to the board of a major State-Owned utility company in Papua New Guinea on a range of matters, including power purchase agreements.
- Advising a USA based aerospace company on PNG licensing regulations.
- Regularly advising various companies across Asia, the USA and Australia on PNG energy and resources, corporate, banking, and regulatory matters.
- Acting for one of the world’s leading independent commodity trading and logistics houses with interests in PNG in connection with a USD 100 million financing arrangement.
- drafting a due diligence report for an international investment firm on its USD 40 million investment into a PNG listed resources company in connection with a major industrial project in PNG.
- Acted for a regional insurance company on its purchase of shares in a Solomon Islands insurer.
- Advised an international bank in relation to a loan amendment deed and guarantee and indemnity obligations by the Independent State of Papua New Guinea.
- Drafted a due diligence report for a 180-megawatt hydropower project in Papua New Guinea.
- Advised and acted for two agribusiness companies on an agricultural project in Western Province valued at PGK 42 million.
- Acted for a Pacific regional provident fund in relation to tax advice on a share purchase transaction valued at over USD 10 million.
- Acting as probity advisor for a major State-Owned Entity in Papua New Guinea in relation to the selection of an international terminal operator to develop two ports.
- Part of a team advising the Papua New Guinea Minister for Industry and State-Owned Enterprises on amendments to the Kumul Consolidated Holdings Act 2002, as amended (KCH Act).
- Assisted with drafting amendments to the KCH Act.
- Assisted in a detailed due diligence on a billion-dollar acquisition of a gold mining company by an Australian listed resources company.
- Provided legal advice to an international gold producer in relation to Papua New Guinea mining laws, in particular the State’s right of election to purchase an equitable interest in mineral discovery.
- Regularly acting for and advising international gold mining companies on various aspects of their operations in Papua New Guinea.
- Assisting various landowner groups in relation to the Papua LNG Project and their rights under the Oil and Gas Act 1998.
- Provided ongoing Papua New Guinea specific legal advice to international law firms.
- Prepared a legal report on alternative fuel generation for a gold mining company operating in Papua New Guinea.
- Providing advice to foreign companies on the application of the Oil and Gas Act 1998, Environment Act 2000, and associated regulations.
